HELLOFEED TERMS OF SERVICE

These Terms of Service (these "Terms") govern Your use of the HelloFeed.ai platform (the "Platform") operated by Legion Works, Inc. ("HelloFeed", "we", "us", or "our"). By creating an account or using the Platform, You ("Customer", "Brand", "You", or "Your") agree to be bound by these Terms.
1. PLATFORM DESCRIPTION
1.1 HelloFeed provides an AI-powered platform that enables brands to collect, manage, and share authentic customer testimonials. The Platform also provides optional tools that allow brands to license testimonial content from their customers for use in paid advertising. The platform is intended for You to use the tools provided to capture authentic feedback, reviews or testimonials based on an individual’s true and authentic experience with Your product or service.
1.2 HelloFeed is a technology platform. We provide tools and infrastructure. We do not provide legal, compliance, or advertising advice. Any templates, sample documents, or suggested workflows provided through the Platform are offered as a convenience only and do not constitute professional advice.
2. ACCOUNT AND SUBSCRIPTION
2.1 Eligibility. HelloFeed is intended to be used by businesses and businesses only. You represent that You are a legally formed business entity or an authorized representative thereof, and have the authority to bind Your organization to these Terms.
2.2 Account Security. You are responsible for maintaining the confidentiality of Your account credentials and for all activity under Your account.
2.3 Subscription Plans. Access to the Platform is provided on a subscription basis at the pricing tier selected during registration. Pricing, features, and limits are described on our pricing page and may be updated with 30 days' notice.
2.4 Payment. Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms.
3. YOUR RESPONSIBILITIES
You are solely responsible for Your relationship with Your customers and end users. HelloFeed provides tools; You are responsible for how You use them.
3.1 End User Consent. You are solely responsible for obtaining all necessary consents, permissions, and approvals from Your customers and end users before collecting, using, or sharing their testimonials, videos, names, likenesses, or any other personal data through the Platform. This includes but is not limited to:
Consent to record and use video testimonials;
Consent to display testimonials on Your website, social media, or other channels;
Consent to use testimonials in paid advertising, if applicable;
Any consents required under applicable privacy laws, including GDPR, CCPA/CPRA, and state biometric data laws (e.g., Illinois BIPA, Texas CUBI); and
Any consents required under right-of-publicity laws in applicable jurisdictions.
3.2 Advertising Compliance. If You use the Platform's licensing tools to pay customers for the use of their testimonials in paid advertising, You are solely responsible for compliance with all applicable advertising laws and regulations, including:
Federal Trade Commission Endorsement Guides (16 CFR Part 255), including required disclosures that testimonial providers were compensated;
Platform-specific advertising policies (Meta, TikTok, YouTube, etc.);
State consumer protection and advertising laws; and
Any typicality disclaimers required when testimonials include specific performance claims.
3.3 Content License Agreements. The Platform provides a template Content License and Release Agreement as a convenience tool to facilitate licensing arrangements between You and Your customers. This template is provided "as is." HelloFeed makes no representations or warranties regarding the legal sufficiency, enforceability, or compliance of this template with any applicable law. You are solely responsible for:
Reviewing and, if necessary, modifying the template to meet Your legal requirements;
Obtaining independent legal counsel regarding the use of the template;
Ensuring that any agreement You enter into with Your customers complies with all applicable laws; and
Fulfilling all obligations under any agreement You execute with Your customers, including payment, takedown on revocation, and proper use of licensed content.
3.4 Prohibited Conduct. You may not:
Collect testimonials from individuals under 18 years of age;
Coach, script, or direct customers to make statements that do not reflect their genuine experience;
Use testimonials in a manner that is false, misleading, or deceptive;
Modify testimonial content in a way that changes the meaning of a customer's statements. HelloFeed uses AI to determine a suggested snippet of content from each video. It is your responsibility to ensure that this snippet isn’t materially different from the overall message, tone or meaning of the review or testimonial.
Use the Platform for any illegal purpose; or
Violate any applicable law, regulation, or third-party right.
3.5 Customer Verification. You are responsible for ensuring that each person who submits a testimonial through the Platform is or was a bona fide customer of Your products or services.
4. HELLOFEED'S ROLE AND LIMITATIONS
4.1 Platform Only. HelloFeed is a technology platform that provides tools for testimonial collection, management, and optional licensing. We do not:
Review, approve, or monitor Your advertisements or marketing materials;
Verify that You have obtained proper consents from Your customers;
Provide legal, compliance, or advertising advice;
Act as a party to any agreement between You and Your customers; or
Assume any responsibility for Your use of testimonial content.
4.2 Template Documents. Any template documents provided through the Platform (including the Content License and Release Agreement template) are provided as a convenience only. They do not constitute legal advice and may not be suitable for Your specific circumstances. We strongly recommend that You have any legal documents reviewed by qualified legal counsel before use. Should you want to use different documents or agreements, including a different Content License and Release Agreement, you must contact HelloFeed to request that we add different documents into your account.
4.3 Payment Processing. If You use the Platform's licensing tools, license fee payments to Your customers are processed through our third-party payment processor (currently Stripe). HelloFeed is not responsible for payment failures caused by the processor, incorrect information, or Your customers' tax obligations.
5. INTELLECTUAL PROPERTY
5.1 Platform IP. HelloFeed retains all rights in the Platform, including its software, design, algorithms, and documentation.
5.2 Your Content. You retain all rights in Your brand assets and materials. You grant HelloFeed a limited license to display such materials within the Platform to provide the service.
5.3 Testimonial Content. Testimonial content is created by and belongs to Your customers. Your rights to use that content are governed by whatever consent or agreement exists between You and Your customer. HelloFeed claims no ownership of testimonial content.
5.4 Aggregated Data. HelloFeed may use anonymized, aggregated data derived from Platform usage for product improvement and benchmarking. No individually identifiable data will be disclosed.
6. INDEMNIFICATION
6.1 Your Indemnification. You agree to indemnify, defend, and hold harmless HelloFeed and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your use of testimonial content in advertisements or marketing materials;
Your failure to obtain proper consents from Your customers or end users;
Your failure to comply with FTC guidelines, privacy laws, biometric data laws, right-of-publicity laws, or any other applicable laws;
Any dispute between You and Your customers regarding testimonial content, licensing, payment, or consent;
Your use of or reliance on any template documents provided through the Platform; and
Your breach of these Terms.
6.2 HelloFeed's Indemnification. HelloFeed agrees to indemnify You from claims arising from: (a) HelloFeed's gross negligence or willful misconduct in operating the Platform; or (b) infringement of a third party's intellectual property rights by the Platform software itself (excluding any content uploaded by users).
7. LIMITATION OF LIABILITY
7.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELLOFEED'S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE FEES PAID BY YOU TO HELLOFEED DURING THE SIXTY (60) DAY PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7.2 Exclusion of Damages. IN NO EVENT SHALL HELLOFEED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST ADVERTISING SPEND, REGULATORY FINES OR PENALTIES, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
7.3 Specific Exclusions. WITHOUT LIMITING THE FOREGOING, HELLOFEED SHALL HAVE NO LIABILITY WHATSOEVER FOR:
YOUR USE OF TESTIMONIAL CONTENT IN ADVERTISEMENTS, INCLUDING ANY FTC ENFORCEMENT ACTIONS, RIGHT-OF-PUBLICITY CLAIMS, OR PLATFORM POLICY VIOLATIONS;
YOUR FAILURE TO OBTAIN PROPER CONSENTS FROM YOUR CUSTOMERS OR END USERS;
ANY CLAIMS ARISING FROM YOUR USE OF OR RELIANCE ON TEMPLATE DOCUMENTS PROVIDED THROUGH THE PLATFORM;
ANY DISPUTE BETWEEN YOU AND YOUR CUSTOMERS; OR
ANY CLAIM RELATED TO BIOMETRIC DATA COLLECTED THROUGH TESTIMONIAL VIDEOS.
8. TERM AND TERMINATION
8.1 Term. These Terms are effective upon account creation and continue until terminated.
8.2 Termination by You. You may cancel Your subscription at any time. Cancellation takes effect at the end of the current billing period.
8.3 Termination by HelloFeed. HelloFeed may suspend or terminate Your account for: (a) material breach of these Terms; (b) non-payment; (c) illegal or fraudulent activity; or (d) any reason with 30 days' written notice.
8.4 Effect of Termination. Upon termination: (a) Your access to the Platform ceases; (b) any agreements between You and Your customers survive independently of these Terms; (c) Your obligations regarding consent, advertising compliance, and proper use of content survive termination; (d) Sections 3, 5, 6, 7, and 9 survive termination.
9. GENERAL PROVISIONS
9.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
9.2 Dispute Resolution. Any dispute arising under these Terms shall be resolved by binding arbitration administered by binding arbitration in San Diego, California. The arbitrator's decision shall be final and binding.
9.3 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between You and HelloFeed regarding the Platform.
9.4 Severability. If any provision is held invalid, the remaining provisions continue in full force.
9.5 Amendment. HelloFeed may update these Terms with 30 days' notice. Continued use after the effective date constitutes acceptance.
9.6 Assignment. You may not assign these Terms without HelloFeed's consent. HelloFeed may assign to a successor entity.
9.7 Notices. HelloFeed will provide notices via email to the address associated with Your account.
9.8 No Waiver. Failure to enforce any provision shall not constitute a waiver.
